These Investor Terms & Conditions govern participation in investment opportunities facilitated through JPM Real Estate Investment Platform Syndicate (“Platform”) promoted by Jayashree Projects & Marketing.

By submitting an expression of interest, application, subscription, capital contribution, or participating in any project introduced through the Platform, the Investor agrees to be bound by these Terms.

1. Definitions

For the purpose of these Terms:

“Platform” means JPM Real Estate Investment Platform Syndicate a concept promoted by Jayashree Projects & Marketing Pvt Ltd.

“Investor” means any individual, partnership, LLP, company, trust, HUF, family office, institution, or other entity seeking participation in a project.

“Project” means any property acquisition, renovation, development, repositioning, flipping, resale, or related real estate opportunity.

“SPV” means a Special Purpose Vehicle created for a specific project.

“LLP” means a Limited Liability Partnership formed for a project.

2. Nature of the Platform

The Platform seeks to identify, evaluate, structure, and manage project-specific real estate opportunities.

Each investment opportunity may be structured through:

  • LLPs
  • SPVs
  • Joint Venture arrangements
  • Partnership structures
  • Other legally permissible entities

Participation is subject to execution of project-specific legal documentation.

3. Investor Eligibility

Investors must:

  • Be at least 18 years of age.
  • Have legal capacity to contract.
  • Be legally permitted to invest under applicable laws.
  • Provide accurate and complete information when requested.
  • Satisfy any KYC, AML, due diligence, or compliance requirements.

The Platform reserves the right to reject any application without assigning reasons.

4. Independent Decision Making

The Investor acknowledges that:

  • Participation decisions are made independently.
  • No investment, legal, accounting, taxation, or financial advice is being provided by the Platform. 
  • The Investor has had adequate opportunity to obtain independent professional advice.

The Investor is solely responsible for evaluating the suitability of any investment opportunity.

5. No Guaranteed Returns

The Investor acknowledges that:

  • No fixed returns are promised.
  • No assured returns are promised.
  • No guaranteed profits are promised.
  • No guaranteed capital protection is provided. 

Any projected ROI, target return, financial forecast, estimate, or illustration is indicative only.

Actual project performance may differ significantly from projections.

6. Investment Risk Acknowledgment

The Investor acknowledges that real estate investments involve risks including:

  • Market risk
  • Liquidity risk
  • Execution risk
  • Construction risk
  • Regulatory risk
  • Financing risk
  • Economic risk
  • Legal risk
  • Exit risk

The Investor understands that partial or complete loss of invested capital may occur.

7. Capital Contributions

Investors shall contribute capital only through approved banking channels and documented mechanisms specified by the Platform.

The Platform reserves the right to reject any contribution that does not comply with applicable laws, internal policies, regulatory requirements, KYC requirements, AML requirements, or source-of-funds verification standards.

Cash investments shall not be accepted unless expressly permitted under applicable law and supported by proper documentation.

8. Project Participation

Each project shall be governed by separate documentation which may include:

  • LLP Agreements
  • Shareholder Agreements
  • Partnership Agreements
  • Subscription Agreements
  • Capital Contribution Agreements 
  • Profit Sharing Agreements
  • Other transaction documents

Such project-specific agreements shall prevail in the event of conflict with these Terms.

9. Profit Distribution

Profit distributions, if any, shall be governed by project-specific agreements.

Distributions may depend upon:

  • Project profitability
  • Availability of funds
  • Completion of project obligations
  • Regulatory compliance 
  • Exit realization

No distribution schedule shall be deemed guaranteed unless specifically stated in executed project documents.

10. Project Delays

The Investor acknowledges that project timelines may be affected by:

  • Regulatory approvals 
  • Market conditions
  • Construction delays 
  • Financing issues 
  • Legal proceedings
  • Force majeure events

Projected timelines are estimates only.

11. Investor Representations

The Investor represents and warrants that:

  • Funds invested are legally owned.
  • Funds are derived from lawful sources.
  • Participation does not violate any law or contractual obligation. 
  • Information provided to the Platform is accurate and complete.

The Investor agrees to provide supporting documentation if requested.

12. Confidentiality

The Investor agrees to maintain confidentiality regarding:

  • Project information 
  • Financial information
  • Business strategies
  • Proprietary methodologies
  • Investor information

Except where disclosure is required by law.

13. Limitation of Liability

To the fullest extent permitted by law, the Platform, its promoters, directors, partners, employees, consultants, advisors, affiliates, and representatives shall not be liable for:

  • Investment losses
  • Opportunity losses
  • Consequential damages
  • Indirect damages
  • Market-related losses

Except where liability cannot be excluded under applicable law.

14. Conflict of Interest

The Platform and its affiliates may participate in projects in various capacities including:

  • Sponsor
  • Promoter
  • Co-investor
  • Manager
  • Consultant

Such participation shall not automatically create liability to investors beyond contractual obligations.

15. Force Majeure

The Platform shall not be liable for delays or failures resulting from circumstances beyond reasonable control including:

  • Natural disasters 
  • Government actions
  • Pandemics
  • Civil disturbances 
  • War
  • Utility failures
  • Technology failures

16. Dispute Resolution

Parties shall first attempt to resolve disputes amicably through good-faith discussions.

If unresolved, disputes may be referred to mediation or arbitration as specified in project-specific agreements.

17. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India.

Subject to applicable dispute resolution provisions, courts located in Bengaluru, Karnataka shall have jurisdiction.

18. Amendments

The Platform reserves the right to modify these Terms from time to time.

Updated versions shall be published on the Platform website.

19. Investor Acknowledgment

By participating in any project opportunity, the Investor acknowledges that:

  • Investments involve risk. 
  • Returns are not guaranteed.
  • Capital is at risk.
  • Independent advice has been recommended. 
  • The Investor has reviewed the Disclaimer, Risk Disclosure Statement, and applicable project documents.
  • Participation is voluntary and based upon the Investor’s independent judgment.
